Terms of Service
These Terms govern access to and use of the VoiceDesk AI platform and services.

1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of VoiceDesk AI ("VoiceDesk," "we," "our," or "us").
By creating an account, purchasing a subscription, or using VoiceDesk, you agree to these Terms.
If you are using VoiceDesk on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not use the service.
2. Service Description
VoiceDesk is a subscription-based AI receptionist platform designed to help businesses manage customer calls and related communications.
Depending on the customer's configuration and subscription plan, VoiceDesk may provide functionality such as:
- AI call answering
- Business-information responses
- Caller information capture
- Message taking
- Call routing and transfer
- Business-hours handling
- Conversation and call history
- Call summaries
- Business configuration tools
- Administrative and reporting features
Features may vary by plan, account configuration, geography, provider availability, or implementation stage.
3. Eligibility and Business Use
You must be at least 18 years old and legally able to enter into a binding agreement.
VoiceDesk is primarily offered for business and organizational use.
If you create an account on behalf of a business, you represent that you are authorized to do so.
4. Accounts and Security
Customers are responsible for:
- Maintaining accurate account information
- Protecting account credentials
- Restricting unauthorized access
- Maintaining appropriate access controls for staff
- Promptly notifying VoiceDesk of suspected unauthorized access
You are responsible for activity conducted through your account except to the extent prohibited by applicable law.
5. Subscription Plans
VoiceDesk currently offers the following subscription plans:
- Starter — $99/month
- Professional — $249/month
- Business — $499/month
Features and service levels may vary between plans.
6. Billing and Payment
VoiceDesk subscriptions may be billed on a recurring basis.
Customers authorize VoiceDesk and its payment providers to charge the applicable subscription fees, taxes, and other amounts that have been agreed to as part of the customer's subscription.
Payment processing may be provided by third-party payment providers.
If payment cannot be successfully processed, access to some or all VoiceDesk services may be suspended or restricted, subject to applicable law and the customer's agreement.
7. Renewal and Cancellation
Unless otherwise stated in an applicable order form, service agreement, or checkout process, subscriptions may renew automatically for successive billing periods until canceled.
Customers may request cancellation through available account-management functionality or by contacting VoiceDesk.
Unless otherwise required by law or expressly agreed in writing, cancellation generally takes effect at the end of the current paid billing period.
Any final refund or cancellation policy remains subject to applicable law and any separate written agreement with the customer.
8. Acceptable Use
Customers may not use VoiceDesk to:
- Violate applicable laws or regulations
- Commit or facilitate fraud or deceptive activity
- Harass, threaten, abuse, or target others with hateful conduct
- Impersonate a person, business, or organization unlawfully
- Use VoiceDesk for unlawful telemarketing or communications
- Use the service in a way that violates telecommunications or carrier rules
- Attempt unauthorized access to systems or accounts
- Disrupt or interfere with VoiceDesk infrastructure
- Introduce malicious code or use the platform for malicious activity
- Circumvent security or usage controls
- Misrepresent VoiceDesk as an emergency service
- Infringe intellectual-property or privacy rights
VoiceDesk may take reasonable steps to investigate suspected misuse and protect the platform and its users.
9. AI and Telephony Limitations
VoiceDesk uses artificial intelligence and telecommunications technologies that may occasionally produce errors or experience interruptions. AI may misunderstand a caller, misinterpret speech, produce imperfect transcription, classify a request incorrectly, or provide an incomplete or inaccurate response.
VoiceDesk does not guarantee:
- Perfect speech recognition
- Perfect transcription
- Perfect AI responses
- Continuous or uninterrupted availability
- Successful completion of every call
- Availability of every telecommunications provider or integration
Customers are responsible for reviewing their VoiceDesk configuration and maintaining appropriate human escalation or alternative communication methods where necessary.
VoiceDesk is not an emergency communication service and should not be relied upon for emergency response.
10. Customer Responsibilities
Customers are responsible for:
- Providing accurate business information
- Maintaining appropriate call-handling instructions
- Ensuring their use of VoiceDesk complies with applicable laws
- Obtaining any notices, permissions, or consents required for their use of telephony, AI, messaging, recording, or other enabled features
- Maintaining appropriate human escalation procedures
- Reviewing and testing the configuration before relying on it for live calls
- Ensuring staff understand how VoiceDesk is configured
- Providing caller notices and obtaining legally required consent where recording or messaging features are enabled
- Ensuring customer-provided information and instructions may lawfully be processed and used
11. Customer Data
As between VoiceDesk and the customer, customers retain their rights in business information and customer data submitted to VoiceDesk.
Customers grant VoiceDesk the limited rights necessary to host, process, transmit, store, and otherwise handle such data to provide, maintain, secure, and support the service. VoiceDesk will handle customer and caller information for those service purposes and will not treat customer content as a transfer of ownership.
Each party should protect confidential information received from the other and use it only as reasonably needed for the service, account administration, support, or legal compliance.
Customers represent that they have the necessary rights and authority to provide such information to VoiceDesk.
12. Intellectual Property
VoiceDesk and its licensors retain all rights, title, and interest in the VoiceDesk platform, including:
- Software
- Source code
- Interfaces
- Documentation
- Branding
- Trademarks
- Designs
- Platform technology
Except for the limited right to use VoiceDesk under these Terms, no intellectual-property rights are transferred to customers.
13. Third-Party Services
VoiceDesk may rely on third-party services including telecommunications carriers, internet and network providers, cloud infrastructure, AI, email, payment, and other technology providers.
VoiceDesk is not responsible for third-party services outside its reasonable control.
Availability or functionality may be affected by changes, interruptions, or restrictions imposed by third-party providers.
14. Service Changes and Availability
VoiceDesk may modify, improve, replace, or discontinue features over time.
We may perform scheduled or emergency maintenance that temporarily affects availability.
Where commercially reasonable, we may provide notice of material changes affecting customers.
15. Suspension and Termination
VoiceDesk may suspend or terminate access where reasonably necessary because of:
- Non-payment
- Security concerns
- Fraud
- Material violations of these Terms
- Unlawful activity
- Material risk to VoiceDesk or other users
- A legal, regulatory, or carrier requirement
Where appropriate and commercially reasonable, VoiceDesk may provide notice and an opportunity to resolve the issue.
16. Disclaimer of Warranties
To the maximum extent permitted by applicable law, VoiceDesk is provided on an "as is" and "as available" basis.
VoiceDesk does not guarantee that the service will always be uninterrupted, error-free, or suitable for every business purpose.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law:
VoiceDesk will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost opportunities, or loss of data arising from or related to use of the service.
Subject to applicable law, VoiceDesk's total aggregate liability arising from or relating to the service will not exceed the amounts paid by the customer to VoiceDesk during the twelve months immediately preceding the event giving rise to the claim.
18. Indemnification
To the extent permitted by law, customers agree to indemnify and hold harmless VoiceDesk and its affiliates, officers, directors, employees, and agents from third-party claims arising from:
- Customer content
- Customer misuse of VoiceDesk
- Customer violation of applicable law
- Customer violation of these Terms
This section remains subject to final legal review.
19. Governing Law
Unless otherwise agreed in writing, these Terms are governed by the laws of Ontario, Canada and the applicable federal laws of Canada.
20. Changes to These Terms
VoiceDesk may update these Terms periodically.
Material changes may be communicated through the website, customer application, email, or another reasonable method.
Continued use of VoiceDesk after updated Terms become effective may constitute acceptance where permitted by applicable law.
